Terms of Service

Please read carefully before using PropPilot

1. Agreement to Terms

By accessing or using PropPilot ("Service", "Platform"), operated by RZBB Ventures LLC ("we", "us", "our"), you ("User", "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.

These Terms do not create any professional, advisory, or agency relationship between you and us. PropPilot is a self-serve administrative software platform only.

2. What PropPilot Is and Is Not

2.1 What PropPilot is

PropPilot is a self-serve software platform that helps self-managing landlords organise rental records, track rent payments, store documents, generate AI-assisted draft documents, and connect with a third-party payment processor for rent collection. It is an administrative tool only.

2.2 What PropPilot is not

PropPilot is not, and does not purport to be:

  • A licensed real estate agent or property manager

  • A lawyer or legal services provider

  • A financial adviser or holder of an Australian Financial Services Licence (AFSL)

  • A registered tax agent, accountant, or CPA

  • A tenancy compliance service or regulatory adviser

  • A party to any tenancy agreement between you and your tenants

  • A guarantor of any rent payment, tenancy outcome, or financial result

Nothing on the Platform constitutes legal, tax, financial, accounting, property management, compliance, or professional advice of any kind.

3. Consumer Guarantees and Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, remedy, or liability that cannot lawfully be excluded, restricted, or modified under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) or any other applicable law.

Where the Australian Consumer Law applies and cannot be excluded, our liability is limited to the extent permitted by section 64A of the Australian Consumer Law, including resupply of the service or payment of the cost of having the service supplied again.

4. Fair Exercise of Rights

Where these Terms give us a right or discretion (including to modify features, change pricing, suspend accounts, or update these Terms), we will exercise that right or discretion reasonably, in good faith, and only for a legitimate business, legal, security, operational, or compliance reason.

If a change materially reduces the features of your paid plan, we will provide reasonable notice where practical and allow you to cancel before the change takes effect without penalty for the remainder of your paid period.

5. Eligibility

You must be at least 18 years of age and legally capable of entering into binding agreements in your jurisdiction.

6. Account Responsibilities

You are solely responsible for:

  • Maintaining the security and confidentiality of your account credentials

  • All activity that occurs under your account

  • Ensuring the accuracy of the information you enter into the Platform

  • Obtaining all necessary consents from tenants before entering their personal information

  • Complying with all applicable laws including tenancy legislation in your state or territory

  • Ensuring tenants have access to any fee-free rent payment method required by law in your state or territory

7. Tenancy Law and Compliance

Tenancy laws vary by Australian state and territory. You are solely responsible for ensuring your conduct as a landlord complies with all applicable laws. PropPilot does not monitor, enforce, or guarantee compliance with any tenancy law, regulation, or legal requirement.

Template documents, AI-generated drafts, and other Platform content are starting points for your review only. They are not legally verified, jurisdiction-specific, or a substitute for legal advice.

You must not use PropPilot to take any action that violates applicable tenancy legislation, discrimination laws, consumer protection laws, or any other applicable law.

8. Rent Payment Compliance

You must ensure that each tenant has access to any fee-free, accessible, or alternative rent payment method required by law in the applicable state or territory. You must not use PropPilot to require a tenant to pay rent in a way that unlawfully imposes fees, restricts payment choice, or breaches tenancy law.

PropPilot does not guarantee that any payment configuration you set up complies with state or territory tenancy law. You are responsible for confirming compliance with your local requirements.

9. AI Features and Limitations

PropPilot uses artificial intelligence to assist with administrative drafting tasks. You acknowledge and agree that:

  • All AI-generated outputs are drafts for your review only and may contain errors, inaccuracies, hallucinations, or outdated information

  • AI outputs do not constitute legal, tax, financial, or professional advice of any kind

  • You are solely responsible for reviewing and verifying all AI-generated content before use

  • PropPilot's AI features are not designed to make binding decisions about tenants, tenancy rights, rent increases, arrears, eviction, legal notices, repairs, bond claims, tenant suitability, creditworthiness, or compliance outcomes

  • You must not treat AI outputs as final decisions or act on them without independent review

10. Payment Processing

PropPilot integrates with a third-party payment processor to provide optional rent collection infrastructure. The payment processor is an independent third-party service provider.

  • PropPilot does not hold, transfer, or take custody of rent payments at any time

  • PropPilot does not charge a percentage of rent collected

  • Payment processor fees apply separately to your PropPilot subscription

  • By enabling rent collection features, you agree to comply with the applicable third-party payment processor terms and connected account agreement

  • The payment processor is solely responsible for payment verification, identity verification, payout timing, dispute handling, chargebacks, reserves, and banking compliance

  • All payment processing issues must be directed to the payment processor's support

11. Tenant Communications

Messages, reminders, and notices generated or sent through PropPilot are administrative tools only. PropPilot does not verify whether a communication satisfies legal notice requirements under any jurisdiction. You are responsible for confirming required form, timing, content, delivery method, and service rules under applicable law.

12. Subscription, Billing, and Cancellation

PropPilot offers Free, Starter, Landlord, Investor, Portfolio, and Portfolio Plus subscription plans. Subscription fees are charged in advance on a monthly or annual basis. Full details are set out in our Refund and Billing Policy.

If you cancel, you retain access to paid features until the end of the period for which you have paid, unless the Australian Consumer Law requires otherwise.

13. Intellectual Property

The Platform, excluding your data, is owned by RZBB Ventures LLC. You are granted a limited, non-exclusive, non-transferable licence to use the Platform in accordance with these Terms. You retain ownership of data you upload. By uploading content, you grant us a limited licence to process and store it for the purpose of providing the Service.

14. Third-Party Services

The Platform integrates with third-party service providers including providers of payment processing, application infrastructure, AI, email, and analytics. Your use of those services is subject to their own terms and privacy policies. We are not responsible for the conduct, availability, or policies of third-party service providers.

15. Platform Availability

The Platform is provided "as is". We do not guarantee continuous or error-free availability. The Platform may experience downtime due to maintenance, technical issues, or circumstances beyond our control. We accept no liability for losses arising from Platform unavailability except where required by law.

16. Limitation of Liability

To the maximum extent permitted by applicable law and subject to clause 3 (Consumer Guarantees):

  • We do not warrant that the Platform is error-free, uninterrupted, or fit for your particular purpose

  • We are not liable for indirect, incidental, special, consequential, or punitive damages

  • Our total aggregate liability arising from or relating to these Terms shall not exceed the total subscription fees paid by you in the 12 months preceding the claim

This limitation does not apply to liability arising from our fraud, wilful misconduct, gross negligence, breach of law, or obligations that cannot be excluded under applicable law.

17. Indemnification

You agree to indemnify and hold harmless RZBB Ventures LLC and its officers, employees, and contractors from any claims, liabilities, damages, losses, or expenses arising from: your use of the Platform; your breach of these Terms; your violation of applicable law; your conduct as a landlord; or your reliance on AI-generated outputs.

Your indemnity does not apply to the extent a claim is caused by our fraud, wilful misconduct, gross negligence, breach of law, or breach of obligations that cannot be excluded under applicable law.

18. Governing Law

These Terms are governed by the laws of the State of Texas, United States. Nothing in this clause affects your rights under the Australian Consumer Law as a consumer in Australia.

19. Changes to These Terms

We may update these Terms with reasonable notice. Material changes will be notified by email or in-app notice. Continued use after the effective date of changes constitutes acceptance. If you do not accept material changes, you may cancel your subscription before they take effect.
